These Terms of Service (the "Terms") are a binding agreement between you and FinCEN Filing ("FinCEN Filing," "we," "us," or "our") governing your use of fincenfiling.ai (the "Site") and your purchase of the Business Compliance Review (the "Service"). By using the Site or placing an order, you agree to these Terms, our Privacy Policy, our Refund Policy, and our SMS Terms. If you do not agree, do not use the Site or purchase the Service.
1. Eligibility
You must be at least 18 years old and authorized to provide information on behalf of the business you identify. By placing an order, you confirm that you meet these requirements.
2. Description of the Service
The Service is a private, online business compliance review. After purchase, you complete an online questionnaire about your business. We review the information you submit and provide:
- A written review summary identifying potential administrative and compliance gaps
- Recommended next steps for the items identified
- A certificate of completion
The Service is a review of the information you submit only. We do not independently audit your records, contact government agencies on your behalf, or guarantee that your business complies with any law.
3. Not a Government Agency
FinCEN Filing is a private company. We are not affiliated with, endorsed by, sponsored by, or acting on behalf of the Financial Crimes Enforcement Network (FinCEN), the U.S. Department of the Treasury, the Internal Revenue Service, any Secretary of State, or any other federal, state, or local government agency. We do not file any report, registration, or form with any government agency on your behalf. The certificate of completion is issued by FinCEN Filing and is not a government document, license, or filing.
The Service is optional. No law requires you to purchase it. Under current FinCEN rules, companies formed in the United States are not required to file beneficial ownership information reports. Government filings, where required, can be made directly with the relevant agency, often at little or no cost.
4. Price, Payment, and Billing
- The price of the Service is a one-time fee of $199.99 USD, shown before checkout and charged in full at the time of purchase.
- There are no subscriptions, renewals, or recurring charges. You will not be charged again unless you place a new order.
- Payments are processed securely by our third-party payment processor. By submitting payment, you confirm you are authorized to use the payment method.
- The charge appears on your card statement as FINCEN FILING.
- You are responsible for any fees charged by your bank, including foreign transaction fees.
5. Delivery
- After purchase, you are directed to the online questionnaire. A link is also sent to the email you provide.
- The questionnaire takes about 10 minutes to complete.
- Your review summary and certificate of completion are delivered by email, generally within 24 hours after you submit the completed questionnaire.
- The Service cannot be completed until you submit the questionnaire. You are responsible for completing it and for providing a valid email address.
- If you do not receive your results within 2 business days after submitting, email [email protected] and we will resend them.
6. Cancellations and Refunds
All sales are final. Because the Service is digital and access is provided immediately after purchase, orders cannot be cancelled and are non-refundable, except as stated in our Refund Policy.
7. Billing Questions and Disputes
If you have a question about a charge, contact us at [email protected] before contacting your bank. We respond within one business day and will work with you in good faith to resolve the issue. If a dispute or chargeback is filed, we may provide the payment processor and your bank with records of your purchase, your acceptance of these Terms, the delivery of the Service, and our communications with you.
8. Your Responsibilities
- Provide accurate, current, and complete information.
- Use the Site and the Service only for lawful purposes.
- Do not attempt to disrupt, copy, scrape, or reverse engineer the Site.
Results depend on the information you submit. We are not responsible for inaccurate results caused by incomplete or inaccurate information.
9. No Professional Advice
The Service provides general business information only. It is not legal, tax, accounting, financial, or regulatory advice, and no attorney-client or other professional relationship is created. For advice specific to your business, consult a licensed professional.
10. Intellectual Property
The Site, the questionnaire, and all review materials are owned by FinCEN Filing and protected by intellectual property laws. You may use your review summary and certificate for your own internal business records. You may not resell, reproduce, or alter them, or represent the certificate as a government document.
11. Disclaimer of Warranties
The Site and the Service are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will identify every compliance issue or that the Site will be uninterrupted or error-free.
12. Limitation of Liability
To the fullest extent permitted by law, FinCEN Filing will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunity. Our total liability for any claim arising from the Site or the Service will not exceed the amount you paid for the Service.
13. Indemnification
You agree to indemnify and hold harmless FinCEN Filing from any claims, losses, or expenses, including reasonable attorney fees, arising from your misuse of the Site or the Service, your violation of these Terms, or inaccurate information you submit.
14. Electronic Communications
By placing an order, you consent to receive transactional communications from us electronically, including email. Electronic communications satisfy any legal requirement that a communication be in writing. SMS messages are sent only with your consent under our SMS Terms.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the state in which FinCEN Filing is organized, without regard to conflict of law rules. Before filing any claim, you agree to contact us at [email protected] and attempt to resolve the matter informally for at least 30 days. Any claim must be brought in an individual capacity and not as a plaintiff or class member in any class or representative proceeding.
16. Changes to These Terms
We may update these Terms from time to time. The version posted on the Site at the time of your purchase applies to that purchase.
17. General
If any part of these Terms is found unenforceable, the remaining parts remain in effect. Our failure to enforce any provision is not a waiver. These Terms, together with the policies referenced above, are the entire agreement between you and FinCEN Filing regarding the Service. We are not liable for delays caused by events beyond our reasonable control.
